By purchasing any service from CalmTech IT Solutions, you acknowledge that you have read, understood, and agreed to these Terms & Conditions in full. These terms protect both you as the client and CalmTech IT Solutions as the service provider.

1 Parties to This Agreement

This agreement is between CalmTech IT Solutions (operated by Sajjad, Sole Proprietor, Barrie, Ontario — "CalmTech") and the individual or business purchasing services ("Client"). By proceeding with any purchase or service request, the Client agrees to be bound by these terms.

2 Scope of Work & Service Delivery

CalmTech will perform only services explicitly agreed upon in the selected package or written quote. Any work beyond the agreed scope requires written approval before proceeding. CalmTech reserves the right to decline work that poses risk to existing systems without proper safeguards.

All onsite bookings are confirmed by phone prior to dispatch. CalmTech will not attend a site without prior confirmation of scope, access, and applicable fees.

3 Data Loss & Backup Responsibility — CRITICAL

The Client is solely responsible for ensuring all data, files, and system configurations are backed up prior to any IT service. CalmTech strongly recommends a full backup before any work including:

  • Operating system reinstalls or upgrades (Windows 10/11)
  • Hardware repairs, replacements, or storage changes
  • Network reconfigurations or server migrations
  • ERP system changes (e.g. Syspro) or Microsoft 365 migrations
  • Any remote access sessions involving system-level changes
CalmTech IT Solutions is NOT liable for data loss, corruption, or system damage resulting from pre-existing hardware failures, pre-existing software issues, or conditions existing before CalmTech's involvement. If no backup exists and data is lost during service, CalmTech cannot be held responsible.

4 Limitation of Liability

CalmTech's total liability for any claim shall not exceed the total amount paid for the specific service causing the claim. CalmTech is NOT liable for:

  • Loss of business revenue, profits, or contracts due to system downtime
  • Data loss resulting from pre-existing hardware or software failures
  • Damage caused by third-party software, viruses, or malware present before service
  • Consequential, indirect, or incidental damages of any kind
  • Failures caused by client modifications to systems after service delivery
  • Internet service provider outages or third-party network failures
  • Power outages, electrical surges, or environmental damage to equipment
  • Issues arising from hardware or software not covered under the agreed scope
IT work inherently involves risk to existing systems. The Client accepts this risk by proceeding with CalmTech services.

5 Hardware, Parts & Third-Party Software

All hardware and third-party software carry manufacturer warranties only — CalmTech does not warranty third-party products. Hardware is supplied at cost plus a procurement fee. CalmTech is not responsible for manufacturer defects, firmware failures, or product recalls on hardware supplied.

6 Payment Terms & Billing

All prices are in Canadian Dollars (CAD). Monthly plans are billed automatically via Stripe. One-time services are due at time of booking or upon completion. Overdue invoices beyond 30 days incur a 2% monthly late fee. Services may be suspended on accounts with outstanding balances. Setup fees are non-refundable once work has commenced.

For project-based work exceeding $500, a 50% deposit is required before work begins. The remaining balance is due upon project completion.

7 Cancellation & Refund Policy

Monthly subscriptions require 30 days written notice to support@calmtech.ca. No mid-period refunds. One-time bookings cancelled more than 24 hours before scheduled appointment receive a full refund. Cancellations within 24 hours forfeit the booking fee. No refund for services already rendered. CalmTech may terminate agreements for abusive conduct toward personnel.

8 Client Responsibilities

The Client agrees to: provide accurate system information; ensure adequate access to systems and premises; complete data backups before any service session; disclose known hardware issues or existing warranties; not hold CalmTech responsible for pre-existing issues discovered during service; provide a safe working environment for onsite visits; notify CalmTech immediately of any concerns.

9 Confidentiality & Non-Disclosure

CalmTech keeps all Client business information, network credentials, system configurations, and data strictly confidential. CalmTech will not disclose Client information to third parties without written consent, except where required by law. All login credentials shared with CalmTech are handled securely and deleted upon completion of work or termination of service.

10 Remote Access & Security

Remote sessions are conducted only with the Client's explicit permission during agreed times. CalmTech will never access Client systems outside agreed service hours without written permission. The Client is advised to change any shared credentials after service completion. CalmTech is not responsible for security breaches caused by Client-side vulnerabilities or weak passwords.

11 30-Day Workmanship Warranty

CalmTech provides a 30-day workmanship warranty on services performed. If the same issue recurs within 30 days due to CalmTech's work, it will be rectified at no charge. This warranty does not cover new issues, hardware failures, user error, or problems introduced by third parties after service. Warranty is void if the Client modifies CalmTech's work without written approval.

12 Travel Fees & Onsite Visit Policy

Zone 1 (0–25km): no travel fee. Zone 2 (25–50km): $49. Zone 3 (50–100km): $89. Travel fees are non-refundable once dispatched. If CalmTech arrives onsite and cannot proceed due to Client-controlled factors, a minimum $75 site visit fee applies. All travel fees confirmed by phone before dispatch.

13 Force Majeure

CalmTech is not liable for service delays caused by circumstances beyond its reasonable control including severe weather, natural disasters, power outages, government restrictions, public health emergencies, or third-party service failures such as ISP or cloud platform outages.

14 Governing Law & Dispute Resolution

These Terms are governed by the laws of Ontario and Canada. Disputes will first be addressed through good-faith negotiation. If unresolved, disputes shall proceed to binding arbitration in Barrie, Ontario under the Arbitration Act of Ontario. The Client waives the right to participate in class action lawsuits against CalmTech IT Solutions.

15 Amendments to These Terms

CalmTech may update these Terms at any time. Updated terms will be posted on calmtech.ca with a revised effective date. Clients on active monthly plans will be notified via email at least 14 days before material changes take effect. Continued use of services constitutes acceptance.
